When engaging in a project with Horizonpaw, clients agree to:

  • Provide timely feedback and approvals as specified in project agreements
  • Supply necessary materials, information, and assets in a timely manner
  • Make payments according to agreed schedules and terms
  • Maintain open and professional communication throughout the project

3.3 Client Responsibilities

Clients are responsible for ensuring they have all necessary rights and permissions for any materials provided to Horizonpaw, including concepts, artwork, characters, and other intellectual property elements.

4. Warranties and Disclaimers

4.1 Website and Services Disclaimer

The Horizonpaw website and general information provided are offered on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding:

While we strive for excellence, we cannot guarantee specific outcomes, market success, user reception, or financial returns for any game development project. Success depends on numerous factors beyond our control, including market conditions, competition, and user preferences.

5. Limitation of Liability

5.1 General Limitations

To the maximum extent permitted by applicable law, Horizonpaw, its officers, directors, employees, and agents shall not be liable for:

  • 5.1.1 Any indirect, incidental, special, consequential, or punitive damages
  • 5.1.2 Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • 5.1.3 Damages resulting from unauthorized access to or alteration of transmissions or data
  • 5.1.4 Damages arising from third-party conduct or content

5.2 Maximum Liability Cap

Our total aggregate liability for all claims arising from or related to these Terms or your use of our services shall not exceed the greater of:

  • The total amount paid by you to Horizonpaw in the twelve months preceding the event giving rise to liability, or
  • Five hundred US dollars ($500)

6. Indemnification

6.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Horizonpaw and its affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • 6.1.1 Your violation of these Terms and Conditions
  • 6.1.2 Your violation of any applicable laws or regulations
  • 6.1.3 Your infringement of any intellectual property or other rights of third parties
  • 6.1.4 Content or materials you provide that cause harm or liability
  • 6.1.5 Your misuse of our services or website

6.2 Defense and Settlement

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You may not settle any claim without our prior written consent.

7. Intellectual Property

  • Clients retain ownership of their original concepts and provided materials
  • Horizonpaw may retain ownership of development tools, frameworks, and methodologies
  • Specific deliverables and their ownership will be defined in project agreements

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the practices described in our Privacy Policy.

We comply with applicable data protection laws, including the General Data Protection Regulation for users in the European Union, and maintain appropriate security measures to protect your personal information.

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Sweden, without giving effect to any principles of conflicts of law.

9.2 Jurisdiction

Any disputes arising from or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Stockholm, Sweden. You consent to the personal jurisdiction of such courts.

9.3 Informal Resolution

Before pursuing formal legal action, we encourage parties to attempt resolution through good faith negotiation. Please contact us with any concerns so we can work together toward a mutually acceptable solution.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather conditions
  • War, terrorism, civil unrest, or government actions
  • Pandemics, epidemics, or public health emergencies
  • Strikes, labor disputes, or supplier failures
  • Telecommunications or internet failures

In such events, the affected party's performance obligations shall be suspended for the duration of the force majeure event.

11. Modifications and Termination

11.1 Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will become effective upon posting the updated Terms on our website with a new effective date. Material changes may be communicated through email or prominent website notice.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
